Terms of Business
1. Intellectual Property and Licensing
All works created, composed, or produced by Soho Live Studios Ltd., including demos and draft materials, shall remain the exclusive intellectual property of Soho Live Studios Ltd., unless otherwise agreed in writing. Licences for the use of any such works will only be granted through negotiation.
Clients are strictly prohibited from sharing, distributing, or reproducing any materials provided by Soho Live Studios Ltd. without prior written consent. Upon completion of the pitch process, whether successful or not, all provided materials must be deleted from your systems. Breach of this condition may result in legal action.
2. Pitch Terms
1. Ownership of Pitched Works: Any works submitted as part of a pitch, including but not limited to demos or treatments, remain the intellectual property of Soho Live Studios Ltd. The release of licensing rights will only occur through further negotiation and a formal agreement.
2. Variation and Revision Policy: Included in the agreed pitch fee are up to three minor revisions. These are limited to small adjustments and do not cover significant changes, additional exports, or format modifications. Should further revisions be required, these will be charged at the current studio rate of £200 per hour (excluding VAT). Any client meetings or discussions exceeding one hour will also incur additional costs, which will be communicated in advance.
3. Additional Costs: Any additional expenses outside the scope of the agreed pitch fee—such as travel, performer negotiations, or further studio time—will be billed separately and must be approved by the client before proceeding.
4. Payment Terms: The agreed pitch fee must be paid in full prior to the release or broadcast of any delivered media product.
3. Production Terms
1. Ownership of Produced Works: All productions created by Soho Live Studios Ltd. remain its intellectual property. Clients will be granted an exclusive licence for use, which will be clearly defined and agreed upon in the contract. The exclusivity of this licence will remain in place unless otherwise negotiated.
2. Revisions and Studio Time: Minor revisions within the scope of the agreed project will be offered at no additional charge, provided they do not exceed the allotted studio time. Additional work, including significant format changes or multiple client-requested exports, will be charged at the standard rate of £200 per hour (excluding VAT). Revisions outside the agreed scope will be flagged and discussed with the client beforehand.
3. Third-Party Costs: Any external costs incurred, such as hiring performers, securing locations, or additional production needs, will be quoted and approved by the client prior to proceeding. These costs will be billed separately from the studio work.
4. Delivery and Release: Final media products will be delivered in the agreed format once full payment has been received. Soho Live Studios Ltd. retains the right to withhold the release of any content until outstanding invoices are settled.
4. Confidentiality
Soho Live Studios Ltd. undertakes to treat all client information and materials with the strictest confidentiality and expects the same in return. No client-specific work will be disclosed to third parties without prior written consent, and both parties agree not to disclose any confidential or proprietary information shared during the course of the business relationship.
5. Limitation of Liability
Soho Live Studios Ltd. will not be held responsible for any indirect, special, or consequential damages arising from the use or inability to use the works or services provided. Liability, in any event, will not exceed the total cost of the project.
By engaging with Soho Live Studios Ltd., the client agrees to these terms in full unless a separate agreement has been made in writing.
